The compensation report summarizes the basic principles used to establish the compensation of the Management and Supervisory Boards of KUKA Aktiengesellschaft. It explains the structure and amount of compensation paid to members of the Management Board and Supervisory Board. The compensation report complies with the requirements of section 162 of the German Stock Corporation Act (AktG). The Supervisory Board of KUKA Aktiengesellschaft adopted a new compensation system on March 24, 2021. This was approved by the Annual General Meeting on May 21, 2021. The new compensation system shall apply retroactively as of the beginning of the 2021 fiscal year (with the deviations outlined under Section VII). The compensation system also largely takes into account the recommendations of the GCGC as amended on December 16, 2019 (hereinafter referred to as “GCGC 2020”). Any deviations from the recommendations of the GCGC 2020 are set out in the Declaration of Compliance by the Management Board and the Supervisory Board dated February 9, 2022.
